1. WE ARE NOT A LAW FIRM (The "Scrivener's" Clause)
Potomac Cyber Governance, LLC ("The Company," "GoCyberCompliant") provides administrative compliance templates, automated drafting tools, and risk assessment workflows. We are a technology and policy provider, not a law firm.
- No Legal Advice: The documents and assessments generated by our platform are drafts based on broad industry standards (NIST, FTC, MODPA). They do not constitute legal advice and do not create an attorney-client relationship.
- User Responsibility: You agree that it is your sole responsibility to have any policy, handbook, or checklist reviewed by qualified legal counsel in your specific jurisdiction before official implementation.
2. MUTUAL CONFIDENTIALITY & NON-DISCLOSURE (The "Automatic NDA")
We understand that the documents you upload for Gap Analysis may contain sensitive internal governance language. By using our services, both parties agree to the following confidentiality standards:
- Client Protection: GoCyberCompliant agrees to hold all uploaded documents, policy handbooks, and survey responses in strict confidence. We will not share, sell, or disclose your proprietary information to any third party. Your documents are used solely for the purpose of generating your Audit Report or Compliance Shield.
- Agreement by Action: Your submission of documents via our secure forms constitutes the execution of this Mutual Non-Disclosure Agreement.
3. "AS-IS" WARRANTY DISCLAIMER
All materials and services are provided "as is" without warranty of any kind, express or implied. The Company specifically disclaims any warranty of fitness for a particular purpose. While our products are designed to align with national standards, we do not guarantee that these documents will prevent a cyberattack, regulatory fine, or lawsuit.
4. LIMITATION OF LIABILITY
In no event shall The Company be liable for any direct, indirect, incidental, or consequential damages (including, but not limited to, lost profits, data breach liabilities, or recovery costs) arising from the use of our products. Our total liability is strictly limited to the amount you paid for the specific service (e.g., $499).
5. INTELLECTUAL PROPERTY & USAGE LICENSE
When you purchase a "Compliance Shield" or related product, you are granted a perpetual, non-exclusive license to use, edit, and reproduce the documents for your single business entity only. You may not resell, redistribute, or publish these templates for use by other businesses or third parties.
6. REFUND POLICY
Because our products are delivered as digital assets, we offer a 7-day satisfaction guarantee. If you are unsatisfied with the quality of the Compliance Shield, you may request a refund within 7 days of delivery.
7. GOVERNING LAW & EXCLUSIVE VENUE
These terms and any disputes arising from the use of GoCyberCompliant services are governed exclusively by the laws of the State of Maryland, without regard to its conflict of law principles.
Mandatory Venue: Regardless of where you are located or where you access our services from, you agree that any legal action or proceeding between you and Potomac Cyber Governance, LLC shall be brought exclusively in the state courts located in Charles County, Maryland or the federal courts for the District of Maryland. You hereby waive any objection to such jurisdiction or venue.
